1. Scope

These Terms of Use govern your use of www.bionergyx.com (the "Website"), operated by Bionergyx Private Limited, CIN U86909MH2025PTC459565, Thane, Maharashtra, India ("Bionergyx", "we", "us"). By using the Website you accept them. If you do not accept them, please do not use the Website. They do not govern any services we provide under a separate written agreement; that agreement prevails.

2. Purpose of the Website

The Website provides general corporate information about Bionergyx and the areas in which we work, healthcare and clinical research, healthcare consulting, strategy consulting, and innovation and technology. It is addressed to business users, in particular biopharmaceutical, medical device and consumer health organisations.

Nothing on the Website is professional, medical, scientific, regulatory or legal advice, and nothing on it should be relied on for a decision in a clinical, regulatory or commercial matter. Nothing on it is a binding offer. A relationship with Bionergyx begins only through a signed written agreement.

We take care with the content but do not warrant that it is complete, accurate or current. Regulatory requirements change, and material here may be out of date.

3. Healthcare and life sciences disclaimer

This is important, so we state it plainly:

• The Website provides corporate information only. It is not medical advice and is no substitute for consulting a qualified healthcare professional. Never delay seeking medical advice because of something you read here.
• The Website is not promotional material for any medicinal product, medical device or health product, and does not advertise prescription-only medicines to the general public. Nothing here should be read as an advertisement within the meaning of Directive 2001/83/EC, national medicines advertising law, the Indian Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954, or comparable rules.

They may not be used without our written consent. Third-party names and marks that appear remain the property of their owners; their use does not imply endorsement or affiliation.

6. Permitted and prohibited use

You agree not to:

• use the Website unlawfully, or for any fraudulent or harmful purpose;
• attempt to gain unauthorised access to the Website, its servers, or any connected system;
• introduce malware or any other harmful code;
• interfere with the Website's operation, including by denial-of-service attacks or excessive automated requests;
• use automated systems to extract content, except search-engine crawlers acting in the usual way;
• submit false, misleading, defamatory or infringing content through the contact form, or another person's personal data without their knowledge;
• send us unsolicited advertising, and in particular use the contact details published on the Website for marketing. We expressly object to that use and reserve the right to act against it.

11. Governing law and jurisdiction

These Terms and any dispute arising out of them or the use of the Website are governed by the laws of India. The competent courts of Thane and Mumbai, Maharashtra, have exclusive jurisdiction.

This does not deprive a consumer resident in the European Union, the United Kingdom or Switzerland of the protection of mandatory provisions of the law of their country of residence, including the right to bring proceedings there, and does not affect the application of data protection law where it applies of its own force.

12. Severability and changes

If any provision is held invalid, the rest stays in force. We may update these Terms at any time; the version published here when you use the Website is the one that applies. Material changes are flagged on the site. Continued use after a change means you accept the updated Terms.
